End User License Agreement
This End User License Agreement ("Agreement") is between you ("you" / "User") and TellyNite ("we" / "us") governing your use of the TellyNite software application and related services (the "Software"). By installing, accessing, or using the Software, you agree to this Agreement, our Terms of Service, and our Privacy Policy. If you do not agree, do not install or use the Software.
1. What TellyNite is (bring your own service)
TellyNite is a media player. It does not provide, host, sell, transmit, index, aggregate, or distribute media content, television channels, movies, series, or playlists, and it is not preconfigured with content sources. The Software contains no preloaded channels, playlists, server addresses, or login credentials. The Software has no functionality until you configure a compatible third-party service or playlist you already use ("Your Service"). We have no affiliation with, and do not endorse, any IPTV or media provider.
2. Account requirement
Certain features require a TellyNite account. You must provide accurate and complete registration information and you must be legally capable of entering into this Agreement under the laws applicable to you. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
Eligible new accounts may receive a 48-hour free trial of Premium without billing information; the trial does not automatically convert to a paid subscription.
3. License grant
Subject to your compliance with this Agreement, we grant you a personal, non-exclusive, non-transferable, revocable, limited license to install and use the Software on devices you own or control, solely for personal, non-commercial use. This license is to the Software only — it grants no rights to any content you access through it.
4. Restrictions
You may not, and may not permit others to:
- use the Software to access, stream, or distribute any content you are not legally authorized to access;
- use the Software for any unlawful purpose or in violation of third-party rights;
- copy, modify, reverse engineer, decompile, or create derivative works of the Software, except where such restriction is prohibited by law;
- rent, lease, sell, sublicense, or commercially exploit the Software;
- remove or alter proprietary notices; or
- circumvent technical or access controls of TellyNite or any third party.
5. User responsibilities
You represent and warrant that: (a) you have the legal right to access any content viewed through the Software; (b) Your Service and your use of it comply with applicable laws and provider terms; and (c) you are solely responsible for the selection, legality, and use of Your Service and all content accessed through TellyNite.
6. Premium trial, subscription, device limits, and AutoSync
The free / basic experience provides limited functionality. Premium is available via subscriptions offered through supported app stores and renews according to those store terms unless canceled before renewal. Fees are non-refundable except where required by law.
Premium accounts may link up to five (5) devices, subject to provider stream limits. AutoSync and related cloud features may store and synchronize supported account data, preferences, and application settings between authorized devices as described in the Privacy Policy. We may add, change, limit, or remove features or services at any time, including global controls such as AutoSync.
7. Intellectual property
The Software — including code, design, trademarks, and branding — is owned by TellyNite and its licensors. All rights not expressly granted are reserved. Third-party software components, libraries, and services (including metadata services such as TMDb) are provided under their respective licenses and terms and are not endorsed as certifications of TellyNite.
8. Third-party services and content
The Software interacts with the third-party service you configure. We do not control and are not responsible for Your Service, its availability, content, or practices. Your dealings with providers are solely between you and those providers.
9. No warranty
The Software is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted, error-free, or universally compatible operation.
10. Limitation of liability
To the maximum extent permitted by law, TellyNite shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits or data, arising from your use of (or inability to use) the Software.
To the maximum extent permitted by law, TellyNite's total aggregate liability arising from or related to this Agreement will not exceed the greater of (a) the amount you paid for the Software or related services during the twelve (12) months preceding the event giving rise to the claim, or (b) USD $10.00. Some jurisdictions do not allow certain limitations; those limitations apply only to the extent permitted.
11. Indemnification
You agree to indemnify and hold harmless TellyNite from claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Software, your breach of this Agreement, or your violation of law or third-party rights — including claims related to content you accessed through the Software.
12. Termination
This Agreement remains in effect until terminated. It terminates automatically if you breach it, or if we suspend or terminate your access under the Terms of Service. Upon termination you must stop using and delete copies of the Software in your possession. Sections that by their nature should survive — including intellectual property, third-party services, no warranty, limitation of liability, indemnification, governing law, and this survival language — will survive termination.
13. Governing law and disputes
This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles. Exclusive venue for disputes arising under this Agreement will be the state or federal courts located in California, unless applicable law requires otherwise.
14. Platform terms
If you obtained the Software through an app store or platform (such as Google Play), that platform's terms also apply. The platform is not a party to this Agreement and has no obligation to provide maintenance or support for the Software. To the extent required by the platform, the platform and its subsidiaries are third-party beneficiaries of this Agreement solely with respect to enforcing the platform's rights. Billing, refunds, and cancellation for store subscriptions are handled by the applicable store according to its policies.
15. Changes and contact
We may update this Agreement by posting a revised version on our website at https://tellynite.com/eula (or a successor URL). Continued use after changes constitutes acceptance of the updated Agreement.
